Terms of Service

These Terms of Service (“Terms”) govern your use of Annply (the “Service”), an AI-powered e-commerce product page builder operated by AnnexPlus (“Company”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Overview

Annply provides an AI-powered tool for creating e-commerce product detail pages, collection pages, and card news content. The Service includes a canvas-based editor, AI conversational editing, and AI image generation/editing features.

2. Account Registration

1. You must create an account to access certain features of the Service. You agree to provide accurate and complete information during registration.
2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. You may not transfer or share your account with third parties.

3. Service Plans and Payments

1. The Service offers both free and paid plans (such as the Plus plan). Free plan features are available at no cost.
2. All paid subscriptions and credit purchases are processed through Polar Software Inc. (“Polar”), which acts as the Merchant of Record for all billing transactions. Polar is responsible for billing, invoicing, sales tax/VAT collection and remittance, and serves as the legal seller for payment purposes.
3. The purchase agreement for payment is between you and Polar Software Inc. Polar's Terms of Use apply to all payment transactions.
4. Refunds are handled in accordance with Polar's refund policy.
5. Paid subscriptions automatically renew at the end of each billing period unless cancelled by you before the renewal date.
6. Credit purchases are one-time transactions. Unused credits are non-refundable.

4. Intellectual Property

1. The Service, including its design, code, and underlying technology, is the intellectual property of the Company.
2. Content you create using the Service belongs to you. You retain all rights to your created content.
3. You may not reproduce, distribute, or commercially exploit any information obtained through the Service without prior written consent from the Company.

5. User Obligations

You agree not to:

• Use the Service to create content that violates applicable laws or public morals.
• Impersonate others or use another person's information without authorization.
• Interfere with or disrupt the operation of the Service.
• Collect, use, or disclose information obtained through the Service without authorization.

You must also comply with Polar's Acceptable Use Policy.

6. Service Availability

1. The Service is provided on a 24/7 basis in principle, but may be temporarily suspended for system maintenance, updates, or due to circumstances beyond our control.
2. The Company will provide advance notice of scheduled maintenance when possible.

7. Termination

1. The Company may restrict, suspend, or terminate your access to the Service if you violate these Terms.
2. You may delete your account at any time through the Service settings.
3. If you cancel a paid subscription, you may continue to use the paid features until the end of the current billing period.

8. Disclaimers

1. The Service is provided “AS IS” without warranties of any kind, express or implied.
2. The Company does not guarantee the accuracy, completeness, or suitability of content generated by AI features.
3. The Company is not liable for service interruptions caused by force majeure events, including natural disasters, wars, or telecommunications provider outages.

9. Limitation of Liability

1. The Company's total liability for any claims arising from or related to the Service shall not exceed the total amount paid by you for the Service during the twelve (12) months preceding the claim.
2. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Governing Law and Jurisdiction

1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.
2. Any disputes arising from or related to the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court.
